Developer Agreement

1. Purpose of the Platform

EggLauncher provides a marketplace that connects:

• game developers
• content creators
• customers

The Platform enables developers to distribute digital game keys and create promotional campaigns where creators may earn commissions for generating sales.

EggLauncher operates solely as a technology intermediary platform and does not act as a publisher, reseller, or distributor of developer games unless explicitly stated.

Developers are the sellers of their games and digital products distributed through the Platform. EggLauncher provides the technology platform facilitating transactions but does not take ownership of developer game keys or intellectual property.

2. Developer Eligibility

To participate as a developer on the Platform, you must:

• be at least 18 years old
• have legal authority to distribute the game keys you upload
• comply with all applicable laws and platform policies

EggLauncher may require identity verification before enabling developer payouts or campaign creation.

Developers may not use the Platform if located in jurisdictions subject to applicable sanctions or where use of the Platform would violate applicable laws or payment processor policies.

3. Developer Accounts

Developers must maintain a valid account on the Platform.

Developers agree to:

• provide accurate account information
• maintain the security of account credentials
• promptly update any inaccurate information

Developers are responsible for all activity that occurs under their accounts.

4. Game Keys and Distribution Rights

Developers may upload digital game keys or licenses to the Platform.

By uploading keys, the Developer represents and warrants that:

• they are the legal owner or authorized distributor of the game
• they have the right to distribute the keys through the Platform
• the keys are valid and authorized for distribution
• the keys are not stolen, obtained fraudulently, or sourced from unauthorized resellers
• distribution of the keys does not violate any publisher, storefront, or platform terms

EggLauncher reserves the right to remove or disable keys that are suspected of being unauthorized or invalid.

Developers are solely responsible for the validity and legitimacy of all keys they upload.

5. Campaign Creation

Developers may create promotional campaigns for their games.

Campaign settings may include:

• creator commission percentage
• promotional terms
• campaign limits
• availability of game keys

Developers may modify or end campaigns at any time unless a transaction has already been completed.

EggLauncher may limit or suspend campaigns that violate platform rules.

6. Revenue Sharing

When a game is sold through the Platform:

• a creator commission may be paid to the content creator associated with the sale
• a platform fee may be retained by EggLauncher
• the remaining revenue is allocated to the Developer

The exact revenue split may vary depending on campaign settings and platform fees.

Developers acknowledge that creator commissions are determined by the campaign parameters they configure.

7. Payments and Payouts

Payments for games purchased through the Platform are processed by third-party payment providers such as Stripe.

Developer payouts may be processed through Stripe Connect or similar payment systems.

Developers must complete any required payment onboarding, identity verification, or tax documentation required by the payment processor.

Payouts may be subject to:

• minimum payout thresholds
• refund and chargeback review periods
• fraud monitoring
• payment processor processing timelines

EggLauncher may delay payouts to investigate suspicious activity or chargebacks.

EggLauncher may establish reserves, payout holds, or delayed payouts where reasonably necessary to mitigate fraud risk, chargebacks, or payment processor requirements.

8. Refunds and Chargebacks

Purchases made through the Platform are subject to the EggLauncher Refund Policy.

If a refund or chargeback occurs:

• the associated developer revenue may be reversed or deducted
• creator commissions related to the sale may be reversed
• platform fees may be adjusted

Developers agree that refunds may occur in accordance with the Refund Policy.

Developers acknowledge that chargebacks may occur through payment processors and that the associated revenue may be reversed or deducted from developer balances where applicable.

EggLauncher may offset chargebacks, refunds, payment processor penalties, or fraud-related losses against current or future developer balances where applicable.

EggLauncher reserves the right to establish reserves, hold funds, or delay payouts where reasonably necessary to mitigate fraud, chargebacks, payment disputes, or compliance obligations with payment processors.

9. Fraud Prevention

Developers may not engage in fraudulent activity, including but not limited to:

• uploading unauthorized game keys
• purchasing their own games to generate artificial commissions
• creating fake accounts or transactions
• manipulating platform metrics or revenue tracking
• artificially generating purchases or campaigns to inflate creator commissions or platform metrics

EggLauncher may investigate suspicious activity and suspend or terminate accounts engaged in fraud.

10. Intellectual Property

Developers retain ownership of their games and related intellectual property.

By using the Platform, developers grant EggLauncher a limited, non-exclusive license to:

• display game titles, logos, screenshots, and descriptions
• promote the game within the Platform
• enable creator promotion through campaigns

This license exists solely for the purpose of operating and promoting campaigns within the Platform.

11. Platform Role and Responsibility

EggLauncher provides a technology platform connecting developers, creators, and customers.

EggLauncher does not guarantee:

• sales performance
• creator marketing results
• platform traffic or promotion

Developers acknowledge that marketing outcomes depend on many factors outside the control of the Platform.

12. Developer Responsibility for Keys

Developers are solely responsible for ensuring that all keys provided to the Platform:

• activate successfully
• correspond to the correct game
• are authorized for distribution

If keys are invalid or unauthorized, EggLauncher may issue refunds, remove listings, or suspend developer accounts.

Developers may be responsible for any financial losses caused by invalid or unauthorized keys.

If game keys provided by the Developer are revoked, disabled, invalid, or otherwise unusable due to actions by the Developer, the publisher, or an upstream distributor, the Developer may be responsible for replacing the keys or reimbursing associated purchases or refunds.

13. Developer Indemnification

The Developer agrees to defend, indemnify, and hold harmless EggBit Games LLC, EggLauncher, and its affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from:

• unauthorized or invalid game keys
• violations of third-party platform rules
• intellectual property infringement
• developer campaign activity
• breach of this Agreement

14. Taxes

Developers are responsible for determining and paying any taxes associated with earnings received through the Platform.

Payment processors may collect tax documentation or issue tax forms where required by law.

15. Account Suspension and Termination

EggLauncher may suspend or terminate developer accounts that:

• violate this Agreement
• upload unauthorized or fraudulent keys
• engage in fraudulent or abusive behavior
• create legal or financial risk for the Platform

Upon termination, access to developer tools may be revoked and pending payouts may be subject to review.

16. Limitation of Liability

To the maximum extent permitted by law, EggBit Games LLC shall not be liable for damages arising from:

• developer campaign performance
• creator promotion results
• marketplace activity
• third-party payment processors

Developers participate in the Platform at their own risk.

17. Changes to This Agreement

EggLauncher may update this Agreement periodically.

When updates occur, the Last Updated date at the top of this page will be revised.

Continued use of developer features after updates constitutes acceptance of the revised Agreement.

18. Governing Law

This Agreement shall be governed by the laws of the State of Iowa, United States.

Any disputes arising under this Agreement shall be resolved in the courts located within Iowa.

19. Force Majeure

EggLauncher shall not be liable for delays or failure to perform due to events beyond its reasonable control including outages, payment processor disruptions, internet failures, or acts of government.

21. Acceptance of Agreement

By uploading game keys, creating campaigns, or clicking “I Agree”, you acknowledge that you have read, understood, and agree to this Developer Agreement.
