1. Platform Overview

EggLauncher is a digital marketplace and promotional platform that connects:

• Game Developers who provide digital game keys or licenses
• Content Creators who promote games and may earn commissions
• Customers who purchase games or redeem promotional keys

The Platform facilitates the distribution and sale of digital game keys and enables revenue sharing between developers, creators, and the platform.

EggLauncher does not own, license, or publish the games sold on the Platform unless explicitly stated.

EggLauncher acts solely as an intermediary technology platform connecting independent parties.

EggLauncher is not the seller of games listed on the Platform. Unless explicitly stated otherwise, all digital products (including game keys) are provided by independent game developers. EggLauncher provides the Platform and related services to facilitate transactions and promotions between developers, creators, and customers.

2. Eligibility

To use the Platform you must:

• Be at least 18 years old, or the age of majority in your jurisdiction
• Have the legal authority to enter into binding agreements
• Provide accurate registration information

By creating an account you represent and warrant that you meet these requirements.

Sanctions and Restricted Jurisdictions. You may not use the Platform if you are located in, under the control of, or a national or resident of any country subject to U.S. sanctions, or if you are otherwise prohibited from using the Platform under applicable law.

3. User Accounts

To access certain features of the Platform, users must create an account.

You agree to:

• Provide accurate and complete information
• Maintain the security of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity under your account

EggLauncher reserves the right to suspend or terminate accounts that violate these Terms.

4. User Roles

The Platform supports multiple types of users.

Developers

Game developers who upload game keys and create promotional campaigns.

Content Creators

Individuals or organizations who promote games and may earn commissions on qualifying sales.

Customers

Individuals who purchase games or redeem game keys.

Developers and creators may be required to accept additional agreements including the Developer Agreement or Creator Agreement before accessing certain features of the Platform.

5. Game Keys and Digital Products

Developers may upload digital game keys to the Platform.

Developers represent and warrant that:

• They have full legal rights to distribute the keys
• The keys are valid and legitimate
• The keys are not stolen, fraudulent, or unauthorized
• Distribution of the keys does not violate any platform, publisher, or third-party terms

EggLauncher is not responsible for invalid keys provided by developers.

If a key is determined to be fraudulent or unauthorized, EggLauncher may remove the listing, suspend the developer account, or take other appropriate action.

6. Campaigns and Creator Commissions

Developers may create promotional campaigns that specify a creator commission percentage.

When a customer purchases a game through a creator’s campaign or promotional link:

• The creator may receive a commission
• The developer receives the remaining revenue after fees
• EggLauncher receives a platform service fee

The exact revenue split may vary by campaign and is displayed on the Platform.

EggLauncher reserves the right to modify platform fees with reasonable notice.

7. Payments and Payouts

Payments on the Platform are processed through third-party payment providers such as Stripe or similar payment services.

By using the Platform, you agree to comply with the terms and policies of the applicable payment processor.

Creators and developers may earn revenue through the Platform.

Payouts may be subject to:

• identity verification
• payment processor onboarding requirements
• minimum payout thresholds
• fraud review or investigation
• refund and chargeback windows

EggLauncher may delay payouts when necessary to investigate suspicious activity or chargebacks.

Users are responsible for all taxes associated with earnings received through the Platform.

Payment processors may issue required tax documents where applicable.

Payout Holds and Reserves. EggLauncher may place holds, delays, or reserves on payouts when reasonably necessary to address refunds, chargebacks, fraud review, compliance requirements, payment processor requirements (including Stripe Connect), or other risk-related concerns. Earnings are not considered final until applicable refund and chargeback windows have passed.

8. Fraud and Chargeback Protection

EggLauncher reserves the right to withhold, delay, reverse, or permanently forfeit payouts where reasonably necessary to address fraud, chargebacks, payment disputes, or violations of platform policies.

If transactions are determined to involve fraudulent activity, unauthorized payments, stolen payment methods, or abuse of the Platform, EggLauncher may cancel associated transactions, disable distributed game keys where possible, and recover or offset losses from user balances.

EggLauncher may also retain funds to cover refunds, chargebacks, payment processor penalties, or other costs incurred as a result of such activity.

9. Refunds and Chargebacks

Purchases made on the Platform are subject to the EggLauncher Refund Policy, available at:

Because the Platform distributes digital goods, purchases may be considered final once a game key has been revealed or redeemed.

If a refund or chargeback occurs:

• associated creator commissions may be reversed
• developer balances may be adjusted
• platform fees may be reversed where applicable

EggLauncher reserves the right to investigate suspicious refund activity.

10. Prohibited Activities

Users may not:

• Upload stolen or unauthorized game keys
• Attempt to manipulate commissions or revenue tracking
• Create fake accounts or fraudulent purchases
• Purchase games solely to generate commissions
• Circumvent platform security or payment systems
• Interfere with the operation of the Platform
• Reverse engineer, scrape, or exploit the Platform
• Promote campaigns using deceptive, unlawful, or harmful content (including harassment, hate, or explicit illegal content) while representing the Platform
• Impersonate any person or entity, or misrepresent affiliation with a developer, creator, or EggLauncher

EggLauncher reserves the right to suspend or terminate accounts engaging in prohibited activities.

11. Intellectual Property

All content on the Platform including:

• platform software
• logos and branding
• trademarks
• user interface and design elements

is owned by EggBit Games LLC or its licensors.

Users may not reproduce, distribute, or modify platform materials without permission.

Developers retain ownership of their games and related intellectual property.

Copyright and IP Complaints. EggLauncher respects intellectual property rights and will respond to valid notices of alleged infringement. If you believe content on the Platform infringes your copyright or trademark, contact us at [email protected] with sufficient information to identify the material and your claim.

12. Platform Role and Liability

EggLauncher provides a technology platform connecting developers, creators, and customers.

EggLauncher does not guarantee:

• the quality of games
• the accuracy of listings
• creator marketing performance
• developer campaign results

EggLauncher is not responsible for disputes between developers, creators, or customers.

To the maximum extent permitted by law, EggLauncher disclaims liability for damages arising from use of the Platform.

13. Account Suspension and Termination

EggLauncher may suspend or terminate accounts that:

• violate these Terms
• engage in fraud or abuse
• create legal, financial, or security risks for the Platform

Users may also close their accounts at any time.

Termination may result in loss of platform access and unpaid balances may be subject to review or withholding where necessary.

14. Modifications to the Platform

EggLauncher may modify or discontinue features of the Platform at any time.

We may also update these Terms periodically.

When updates occur, the Last Updated date at the top of this page will be revised.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

15. Third-Party Services

The Platform may integrate with third-party services including:

• payment processors
• cloud hosting providers
• analytics services
• authentication services

EggLauncher is not responsible for the policies or practices of third-party services.

Users may be required to agree to additional terms provided by these services.

16. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

EggLauncher makes no warranties regarding:

• platform uptime
• platform reliability
• uninterrupted service
• error-free operation

Use of the Platform is at your own risk.

17. Limitation of Liability

To the maximum extent permitted by law, EggBit Games LLC shall not be liable for:

• indirect damages
• lost profits
• lost revenue
• loss of data
• business interruption

arising from the use of the Platform.

18. Force Majeure

EggLauncher is not responsible for delays, interruptions, or failures caused by events beyond our reasonable control, including outages, acts of government, natural disasters, labor disputes, internet failures, or payment processor disruptions.

19. Governing Law

These Terms are governed by the laws of the State of Iowa, United States, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the courts located within the State of Iowa.
